These Terms & Conditions (“Terms”) govern your use of https://thinktank-agency.com/ and the purchase/use of services offered by Think Tank Agency (“Think Tank”, “we”, “us”, “our”).

By accessing our website, requesting services, signing a proposal, or paying an invoice, you confirm that you have read, understood, and agreed to these Terms.

1. Definitions

  • Client: the individual or entity purchasing services

  • Services: digital marketing, creative, branding, media buying, web development, consulting, and related deliverables agreed in writing

  • Deliverables: the outputs agreed under the proposal/contract (e.g., creatives, reports, landing pages)

  • Proposal/SOW: a written scope of work, offer, quotation, or agreement

2. Scope of Services

Services are provided strictly according to the Proposal/SOW agreed in writing (email, signed proposal, contract, or invoice notes). Any work outside the agreed scope is considered a Change Request (see Section 6).

3. Onboarding, Access & Cooperation

To perform services, the Client may need to provide:

  • Required information, brand assets, access permissions (ad accounts, pages, pixels, analytics, domain)

  • Timely feedback and approvals

Delays in providing inputs or approvals may delay timelines and do not entitle the Client to refunds for time already allocated.

4. Pricing, Taxes & Fees

  • Pricing is shown on the in a Proposal/SOW/invoice.

  • Unless expressly stated otherwise, prices are [inclusive/exclusive] of VAT and applicable taxes.

  • Third-party costs (e.g., ad spend, stock assets, paid tools, plugins, hosting) are not included unless explicitly listed.

5. Payment Terms

  • Services may require advance payment, a deposit, or subscription billing as stated in the invoice/Proposal.

  • Late payments may result in suspension of work and/or deliverables until payment is received.

  • The Client is responsible for any bank charges or payment processor fees where applicable (unless prohibited by law or agreed otherwise).

6. Change Requests (Out-of-Scope Work)

Any material change to scope, deliverables, platforms, volume of content, revisions, or timelines is a Change Request. We will confirm any additional fees and timeline impact in writing before proceeding.

7. Revisions & Approvals

Unless otherwise stated in the Proposal:

  • We include revision rounds per deliverable.

  • Additional revisions are billable.

  • If the Client does not respond within [2] business days, deliverables may be deemed approved for timeline purposes.

8. Client Content & Permissions

The Client confirms they have the right to provide any materials (logos, images, videos, text) and to authorize us to use them to deliver the Services. The Client is responsible for ensuring their content does not infringe third-party rights.

9. Intellectual Property (IP)

Unless stated otherwise in the Proposal/SOW:

  • Upon full payment, the Client receives a license or ownership of final Deliverables created specifically for the Client (excluding Think Tank’s pre-existing templates, tools, methods, or proprietary frameworks).

  • Think Tank retains ownership of:

    • Pre-existing materials, know-how, templates, processes

    • Drafts not selected/approved

  • We may showcase work in our portfolio unless the Client requests confidentiality in writing.

10. Confidentiality

Both parties agree to keep confidential information private and use it only to perform the Services. This obligation survives termination.

11. Performance & No Guaranteed Results

Digital marketing outcomes depend on many external factors (market conditions, competition, budget, product quality, platform policies).
We do not guarantee specific results (e.g., sales, ROAS, leads), unless explicitly agreed in a written performance-based contract.

12. Third-Party Platforms

Services may rely on third-party platforms (Meta, Google, TikTok, LinkedIn, hosting providers). We are not responsible for platform outages, policy changes, account bans, algorithm changes, or third-party service limitations.

13. Suspension & Termination

We may suspend or terminate services if:

  • Payments are overdue

  • The Client breaches these Terms or platform policies

  • The Client requests unlawful, deceptive, or prohibited activities

Termination effects, refunds, and final billing are governed by our Refund & Cancellation Policy and/or the Proposal/SOW.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Think Tank is not liable for indirect, incidental, or consequential damages (lost profits, lost data, business interruption).

  • Our total liability is limited to the fees paid to Think Tank for the Services giving rise to the claim during the [preceding 3 months / project term], unless mandatory law requires otherwise.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Arab Republic of Egypt.
Disputes shall be subject to the jurisdiction of the competent courts in [Cairo ], unless the parties agree otherwise in writing (e.g., arbitration).

2- Refund & Cancellation Policy

This Refund & Cancellation Policy explains when refunds may be available for services purchased from Think Tank Agency.

Because our work involves time allocation, capacity booking, and digital deliverables, refunds are handled according to service type and stage of work.

1. Definitions

  • Start of Work: when we begin strategy, research, setup, production, account access, scheduling, or any measurable work after payment.

  • Third-Party Costs: ad spend, paid tools, subscriptions, domains, hosting, stock media, platform fees.

2. General Rule

  • Third-Party Costs are non-refundable once incurred.

  • Work that has started is generally non-refundable, except as stated below.

3. Refunds Before Start of Work

If you cancel before Start of Work, you may request a refund within 48 hours of payment, subject to:

  • Verification that no work has started and no capacity has been reserved beyond standard admin handling, and

  • Deduction of non-recoverable processing fees charged by the payment provider (if applicable).

4. Refunds After Start of Work (Partial Refunds)

If you cancel after Start of Work, a partial refund may be considered only if:

  • No major deliverables have been produced or delivered, and

  • The request is submitted promptly, and We can reasonably reallocate capacity

In such cases, any refund (if approved) will be calculated as:
Amount paid – (work completed value + booked capacity + third-party costs + non-recoverable fees).

5. Monthly Retainers / Subscriptions

For monthly services (e.g., social media management, ads management, ongoing content):

  • You may cancel renewal by providing written notice at least 7 calendar days before the next billing date (unless your contract states otherwise).

  • Fees for the current billing period are not refundable once the period has begun, as resources are scheduled and delivered continuously.

  • If you paid in advance for multiple months, unused future months may be refundable only if cancellation notice is provided before those months begin and no work/capacity has been assigned.

6. Project-Based Services (Branding, Websites, Campaign Setup)

For fixed-scope projects:

  • Deposits are non-refundable once Start of Work begins.

  • Milestone payments already earned by completed milestones are non-refundable.

  • If the project is canceled, we will deliver the work completed to date upon receipt of any outstanding amounts due.

7. Ad Spend & Media Buying

  • Ad spend paid to platforms (Meta/Google/etc.) is never refundable by Think Tank.

  • If Think Tank manages ads, our management fee is handled under Sections 4–6.

8. Delays Caused by Client

If timelines are affected because the Client fails to provide assets, approvals, or required access for more than 14 days, Think Tank may:

  • Pause the project, reschedule work, or close the project as “on hold”

  • Fees already paid remain non-refundable for time reserved and work completed

9. Service Issues & Remedies

If you believe we failed to deliver the Services as agreed, contact us first. Our remedy may include:

  • Fixing the issue,

  • Additional revisions (within scope), or

  • A credit note (at our discretion)
    Refunds are considered only after we have a reasonable opportunity to cure.

10. Chargebacks

If a chargeback is filed without first contacting us to resolve the issue, we may:

  • Suspend services and access to deliverables,

  • Provide evidence of the delivered scope and communications to the payment provider/bank,

  • Apply chargeback handling fees where legally permitted.

11. How to Request a Refund or Cancellation

  • Full name / company name

  • Invoice number / transaction ID

  • Service purchased

  • Reason for request

  • Supporting evidence (if relevant)

12. Refund Method & Timeline

  • Refunds are processed to the same payment method used for purchase.

  • Typical processing time: 5–14 business days, depending on banks/payment providers.
